Corporate Secretarial Paralegal
Marsh McLennan is a global leader in risk, strategy, and people, advising clients in 130 countries. They are seeking a Corporate Secretarial Paralegal to handle corporate housekeeping duties, prepare legal documentation, and ensure compliance for multiple subsidiaries.
Responsibilities
- Participate in team projects, organize project files, and create spreadsheets, presentations, user guides, pie graphs and organizational charts
- Respond to e-mail requests and inquiries from various corporate departments relating to company structure, State registrations and tax or State ID numbers and board appointments
- Create organizational charts illustrating ownership chain and legal structure for various subsidiaries
- Assist with complex matters and projects under direction and supervision of project manager and supervisor
- Prepare and notarize secretary’s certificates, proxies, power of attorney documents and affidavits and arrange for proper legalizations, upon request (e.g., apostille or consularization)
- Update corporate database system (Diligent Entities) with any directorial or officer changes such as (i) resignations, replacements or new officer elections; and (ii) adding or removing companies due to merger or corporate dissolution. Perform lien searches
- Prepare board resolutions for corporate actions such as mergers & acquisitions, dissolutions, elections, bonus or dividend approvals, banking transactions, amendments and share transfer approvals while maintaining corporate minute books, stock certificates, corporate seals and updated corporate by-laws
- May serve as a liaison between the MMC legal department and external legal counsel in connection with corporate governance matters, transactions, and other projects
- Liaise with Corporate Tax department on maintaining good corporate governance for the Marsh subsidiaries
- Coordinate the execution of board resolutions
- Support MMC Treasury with drafting banking resolutions, assisting with KYC forms to set up bank accounts, and preparing consents regarding dividend declarations and capital contributions
- May also collect, analyze, present, and report on various types of data
Skills
- 1-3 years of experience with corporate secretarial
- Undergraduate degree from an accredited university
- Must be a current notary public
- Detail oriented, high level of accuracy in work product, and meet commitments
- Experience handling sensitive information with professionalism, discretion, and integrity
- Excellent verbal and written communication skills
- Ability to work independently and be a self-starter
- Proficient with MS Office applications
- Familiar with Diligent Entities or similar systems
